Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern access to and use of the websites, software, data, email, messaging, API, and related services provided by Virev AI ("Virev", "we", "us", or "our") (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to these Terms.

If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms. If you do not agree or do not have authority, you may not use the Service.

2. The Service

Virev may provide:

• Public creator and influencer discovery, analytics, filtering, folders, and lists
• Public contact discovery, email finder, profile enrichment, and social enrichment
• Campaign management, email and DM drafting, scheduled sending, reply inboxes, and status tracking
• Integrations you authorize, such as Gmail, SMTP, Resend, and Instagram Graph API
• API access through api.virev.ai and related documentation
• AI-assisted search, classification, recommendations, drafting, and analysis

Some features may be beta, limited release, trial-only, usage-limited, paid, or subject to a separate order form or written agreement.

3. Accounts and Security

• You must provide accurate and current account, billing, and organization information.
• You are responsible for safeguarding accounts, passwords, API keys, OAuth connections, and team permissions.
• You are responsible for all activity under your account and workspace.
• You must notify us promptly of unauthorized access, exposed keys, or suspected security incidents.
• You may not create multiple accounts to evade usage limits, payment obligations, or abuse controls.

4. Customer Data and License

You retain ownership of campaign briefs, lists, notes, messages, attachments, and other content you submit to the Service ("Customer Data"). You grant Virev a non-exclusive, worldwide, limited license to host, process, transmit, display, and otherwise use Customer Data only as needed to provide, secure, support, and improve the Service.

You represent that you have all rights, permissions, notices, consents, and lawful bases needed to submit, process, and send Customer Data through the Service.

5. Public Creator Data

The Service may display publicly available creator profiles, public content, public business contact information, and derived metrics. Virev does not guarantee that public creator data is complete, accurate, current, or suitable for your intended use. You are responsible for verifying contacts, recipients, consent, and compliance before outreach.

You may use public creator data from the Service only for creator discovery, analysis, campaign planning, and lawful business outreach.

6. Email, Gmail, DM, and Outreach Compliance

• You are the sender of all emails, DMs, and campaign messages you send through the Service.
• You must have a lawful basis, consent, or other required permission to contact each recipient.
• You must comply with CAN-SPAM, CASL, GDPR, UK GDPR, ePrivacy rules, Korea's information network and privacy laws, and other laws that apply to your messages.
• You must comply with the policies and limits of Gmail, Instagram, Resend, your SMTP provider, and any other third-party platform used to deliver messages.
• You must honor unsubscribes, opt-outs, objections, blocks, and deletion requests.
• You may not send spam, phishing, fraudulent, deceptive, or unsolicited bulk commercial messages.

Virev does not guarantee delivery, deliverability, platform approval, avoidance of account limits, or avoidance of spam filtering.

7. Prohibited Uses

You may not:

• Use the Service for unlawful, harmful, deceptive, discriminatory, harassing, or rights-infringing activity
• Circumvent platform limits, rate limits, access controls, payment limits, or security controls
• Scrape, crawl, mirror, overload, attack, or reverse engineer Virev or third-party systems
• Extract, resell, redistribute, or sublicense Service data except through authorized APIs and documented limits
• Use Service data to determine credit, insurance, employment, housing, education, or legal eligibility
• Use the Service for surveillance, sensitive profiling, biometric identification, or child-directed services
• Use multiple accounts to abuse or bypass Gmail, Instagram, email-provider, or Virev policies
• Transmit malware, exploit code, phishing links, spoofed sender information, or false identities
• Use Service outputs to make legal or similarly significant decisions without meaningful human review

8. API Use

API access is subject to approved keys, subscriptions, documentation, rate limits, and any separate order form or agreement. API keys are non-transferable and must be protected. You may not use the API to build a competing database, resell Virev data as a standalone dataset, or cache, share, or export data beyond the rights granted in your plan or written agreement.

We may throttle, rotate, suspend, or revoke API keys for security, abuse, non-payment, excessive usage, policy violations, or protection of the Service.

9. AI Outputs

AI-assisted search, classification, recommendations, email drafts, summaries, and automation outputs may be inaccurate, incomplete, offensive, or unsuitable. You are responsible for reviewing, editing, and approving outputs before using them. AI outputs are not legal advice, marketing-compliance advice, privacy advice, or platform-policy advice.

10. Intellectual Property

Virev and its licensors own the Service, software, designs, databases, models, workflows, documentation, trademarks, and other materials we provide. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use the Service for your internal business purposes.

If you provide feedback, suggestions, or ideas, you grant us the right to use them without restriction or compensation.

11. Billing, Subscriptions, and Credits

• Paid plans, credits, and API usage are billed according to the selected plan or order form.
• Subscriptions may renew automatically until canceled.
• You are responsible for taxes, currency fees, failed payments, chargebacks, and overage fees.
• Fees and unused credits are non-refundable except where required by law or expressly stated in writing.
• We may limit or suspend access for non-payment, failed payment, chargebacks, or excess usage.

12. Privacy and Data Processing

Our Privacy Policy explains how we process personal information. If we process personal information on your behalf as a processor or service provider, a separate data processing agreement may apply. You are responsible for providing required privacy notices and obtaining required permissions for personal information you process through the Service.

13. Third-Party Services

The Service may integrate with Google, Meta, Resend, Stripe, Clerk, OpenAI, and other third-party services. Your use of third-party services is governed by their own terms and policies. Virev is not responsible for third-party changes, outages, limits, denials, suspensions, or account actions.

14. Availability and Changes

We use commercially reasonable efforts to operate the Service, but we do not guarantee uninterrupted or error-free access. We may change, suspend, or discontinue features, data sources, prices, API endpoints, plans, and limits. We will try to provide reasonable notice for material changes where practical.

15. Confidentiality

Each party will protect information disclosed by the other party that is marked confidential or should reasonably be understood as confidential. Confidential information may be used only to perform these Terms and may be disclosed only to personnel, contractors, and advisors who need access and are bound by confidentiality obligations, unless disclosure is required by law.

16. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIREV DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, DELIVERABILITY, AND DATA COMPLETENESS.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIREV WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITIES. VIREV'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO VIREV IN THE 12 MONTHS BEFORE THE CLAIM.

18. Indemnification

You will indemnify and hold harmless Virev, its officers, employees, agents, and providers from claims, losses, liabilities, damages, costs, and expenses arising from your Customer Data, outreach, API use, violation of law or third-party platform policies, infringement of third-party rights, or breach of these Terms.

19. Suspension and Termination

We may limit, suspend, or terminate accounts, features, API keys, or integrations for non-payment, security risk, abuse, legal compliance, third-party platform policy issues, breach of these Terms, or protection of the Service. You may request account deletion at any time. Provisions relating to payment, confidentiality, indemnity, liability limits, dispute resolution, and data retention survive termination.

20. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of laws rules. The state and federal courts located in Delaware will have exclusive jurisdiction over disputes arising from these Terms or the Service. The parties will first attempt to resolve disputes in good faith.

21. Changes to Terms

We may update these Terms from time to time. We will provide notice of material changes by updating the effective date, posting in the Service, emailing account contacts, or using another reasonable method. Your continued use of the Service after changes take effect means you accept the updated Terms.
